Keep your DIN status approved by filing DIR-3 KYC before 5 th October, 2018

The Ministry of Corporate Affairs (MCA) has decided to give 21 lakh India Inc directors another 15 days to reactivate their Director Identification Numbers (DINs) by filing Know-Your-Customer (KYC) details upon paying a reduced fee. The decision was taken by Finance and Corporate Affairs minister Arun Jaitley on Wednesday. The notification regarding the extension of deadline is as below.

As you are aware the last date for filing form DIR-3 KYC without fee has expired on 15th September 2018. The process of deactivating the non-compliant DINs has since been completed and their status has been updated as ‘Deactivated due to non-filing of DIR-3 KYC’. However, the non-compliant DIN holders may file DIR-3 KYC with a fee of Rs.500 (Rupees Five Hundred Only) from 21st September till 5th October 2018(both days inclusive) to get their DINs reactivated. From 6th October 2018 onwards, a fee of Rs.5000 (Rupees Five Thousand Only) becomes payable for reactivation.

DINs, the unique identification numbers, of nearly 21 lakh directors were deactivated by the MCA following non-filing of KYC details.

“The directors will be given another 15-day extension to reactivate their DINs by filing the e-form along with a nominal fee, which is being kept much lower than the current late fee of Rs 5,000,” top government sources said.

Many individuals and professional bodies, including the Institute of Chartered Accountants of India (ICAI) and Institute of Companies Secretaries of India (ICSI), have written to the government seeking extension in the date of submission for KYC without any additional fee. They have citied practical difficulties such as time-consuming process of obtaining digital signatures, video verification, reaching out to foreign directors and Kerala floods among the reasons for the delay.

“It took us an average time of one to one-and-a-half hour to do one KYC filing. It is quite time consuming to get the digital signature and then feed the client details on MCA software. Many a times the site shows glitches,” said Ashok Tyagi, a company secretary, who is looking forward to an extension in the filing time.

After the last date for filing of the e-KYC form, the MCA deactivated DINs of nearly 21 lakh directors, about 63% out of a total of 33 lakh directors registered in the country after they failed to furnish their KYC details. Only 12.15 lakh directors filed their KYC details within the stipulated time.

DIN is the unique number allotted to the directors on the Boards of registered companies without which they can’t sign any compliance document on behalf of the company.

According to some government officials, not more than two lakh directors are likely to come forward to file KYC over next 15 days. “A large number of directors will be dummy directors or the ones having multiple DINs,” said an official.

The MCA launched the e-KYC form under the MCA 21 system on July 14, this year. All the 33 lakh directors were required to provide their personal details such as e-mail address, Permanent Account Number (PAN) and Aadhaar number in an e-filing with the government in a major clean-up drive on ‘fly by night and dummy directors’. The directors also had to upload their short videos introducing themselves. The directors who could not comply with the new rule could, however, get their DINs activated provided they paid a sum of Rs 5,000 as late fee.

2.1 million company directors may get another chance to adhere to KYC rules

MCA extends due date of DIR -3KYC / E-KYC of Directors

The government is considering giving another opportunity to 2.1 million company directors who have failed to comply with the ‘know your customer’ (KYC) norms, according to a senior official.

The government could give another 15 days for meeting the compliance norms or reduce the penalty for late filing, the official said, requesting not to be named. In June, the corporate affairs ministry had decided to seek KYC for all 3.3 million active directors. The last date for complying with the new norms by way of submitting form ‘DIR-3 KYC’ without fee ended on September 15.

Only 1.2 million directors were able to complete KYC. The post of remaining 2.1million can be re-activated only after a fee payment of Rs 5,000 along with requisite form. “We are looking at the option of either providing a window of 15 days or reducing late fee. The situation has been reviewed by corporate affairs minister Arun Jaitley. A lot of these people are genuine directors who could not complete the process,” the official said. “Decision on providing another window could be taken once the corporate affairs secretary, who’s currently traveling, is back.”

The Institute of Chartered Account of India and several other corporate bodies have also made representations to the ministry, requesting them to extend the period by another 15 days.

“The website wasn’t functioning properly between September 13 and September 15. Also, there were glitches in uploading the digital signatures,” ICAI president Naveen ND Gupta wrote in a recent letter to the ministry. Among those whose director identification number (DIN)—a unique number allotted to individuals eligible to have directorship on boards of registered companies— is being de-activated for non-compliance is a Union minister, a person in the know said. As a part of the KYC drive, company directors had to provide their passport, PAN and contact details, such as phone number and email address. They were required to link their Aadhaar and PAN with the DIN.

The move is aimed at weeding out fake names being listed as genuine directors.

This was a part of the government’s larger strategy to clamp down on shell companies. The government is currently in the process of de-registering 200,000 such companies. These companies have been struck off for not carrying out any business or operation in the last two years.

PAN-Aadhaar linking deadline extended to June 30: CBDT

by K.Sundar | posted in: Corporate Updates, Economy, Business Updates, Corporate Affairs, Income Tax,e-Filing- Individuals, Firms, Companies | 0

The CBDT today extended the deadline for the PAN-Aadhaar linking to June 30.

The policy-making body of the tax department issued an order extending the deadline from the current last date of March 31.

The order said the deadline for PAN-Aadhaar linking for filing I-T returns is being extended after “consideration of the matter”.

It is understood that the latest order by the Central Board of Direct Taxes (CBDT) has come in the backdrop of the Supreme Court, earlier this month, directing extension of the March 31 deadline for linking Aadhaar with various other services.

The apex court ordered for the extension in the deadline till the five-judge constitution bench delivers its judgment on petitions challenging the validity of the biometric scheme and the enabling law.

This is a fourth extension given by the government for individuals to link their Permanent Account Number (PAN) with their biometric ID (Aadhaar).

The government has now made quoting of Aadhaar mandatory for filing income tax returns (ITRs) as well as obtaining a new PAN.

Section 139 AA (2) of the Income Tax Act says that every person having PAN as on July 1, 2017, and eligible to obtain Aadhaar, must intimate his Aadhaar number to the tax authorities.

As per updated data till March 5, over 16.65 crore PANs, out of the total about 33 crore, have been linked with Aadhaar.

The earlier deadlines for linking the two databases were July 31, August 31 and December 31, 2017, with the last being March 31 this year.

Income Tax department can now send communication to more addresses

The I-T can now use address of the assessee as available with the banks, post office, insurer or that available in government/local authority records

The central board of Direct Taxes has amended the rules relating to service of notice, summons, requisition or order.

The step widens the scope of addresses that the I-T department can use for delivering any form of communication with the taxpayers.

The I-T can now use address of the assessee as available with the banks, post office, insurer or that available in government/local authority records.

It can also include communication address provided under PAN database, which is meant for filing statement of financial transaction.

The extant rule provides that the I-T could use the address from either the PAN database or a taxpayer’s registered office address.

Experts said the change in rule was to ensure tax authorities can track those asseesses who aren’t reachable at the addresses available with the department.

MCA plans to ease process for starting biz

MCA had taken another bold initiative in Government Process Re-engineering (GPR) and launched Simplified proforma for Incorporating Company Electronically (SPICe) e-Form.

The Ministry of Corporate Affairs plans to simplify the existing processes for setting up a company, according to a public notice.

In this regard, the ministry — which is implementing the Companies Act — has sought views from the stakeholders.

The government has already centralised name reservation and incorporation services. There were more than 11.34 lakh active companies at the end of August.

Now, comments have been sought for “further simplification of processes aimed at further easing the starting of a business,” the ministry said in a public notice.

Registration of new companies is being done by way of the integrated SPICe form.

The procedures for obtaining DIN (Director Identification Number) by the proposed directors, name reservation, incorporation as well as allotment of PAN and TAN have been integrated — a move that brings down the time taken for starting a new business under the companies law.

According to the notice, DIN allotment or name reservation services can also be done independently by stakeholders “who wish to proceed with incorporation in a piecemeal manner.

Stakeholders can submit their comments to the ministry by November 5.

SPICe (Simplified Proforma for Incorporating a Company Electronically) is aimed at providing speedy incorporation related services.

Govt to widen usage of GST database

by K.Sundar | posted in: Corporate & Business Advisory Services, Corporate Updates, Economy, Business Updates, Corporate Affairs, Income Tax,e-Filing- Individuals, Firms, Companies | 0

The goods and services tax (GST) might find use in national accounts beyond the routine application of indirect taxes in converting gross value added (GVA) into gross domestic product (GDP).

“We have started an exercise to look into this. A group comprising officials of the national accounts division is examining this issue,” TC A Anant, the government’s chief statistician, told Business Standard.

The GST, he noted, was more than a tax, since assessees file returns and describe activities on which the tax is levied, besides a whole bunch of other information. “In B2B (business-to-business) transactions, we can track the value chain. The national accounts committee is looking at it. It is at least worth probing,” Anant said. The group will check if there are legal or technical hurdles in the way. In the old taxation system as well, such filings were done in the case of value-added tax, central excise duty and service tax, but those were in separate databases. So, the system’s ability to use the data was somewhat limited.

“We had in the past conducted discussions to see if we could get more mileage from these databases. However, these remained at discussion level and not converted into outcomes,” Anant said.

There were many reasons for this. First, the process of computerisation of tax filings started around 2005-06, the service tax bit earlier and central excise a bit later. It got standardised around 2010-11.

“We started looking at it when we were doing preparatory work for base revision. Partly because of that fragmented nature, we were unable to get any mileage from it. By 2015, it became clearer that these indirect taxes would be taken over by the GST. Now, we have greater advantage as the GST covers both goods and services.”

So far as the usual use of the GST for converting GVA into GDP is concerned, Anant said it was simply a question of getting the data on the GST collection and verify how much of it is attributable to the Centre and how much to state collection. With the latter, there will be an additional bit of information, on how much was collected by specific states and the share they got from the Centre.

“This you may call a routine part of the GST database. For us, numbers are important because we use these — overall tax collections in national accounts and, similarly, specific state figures for its GSDP,” he said. Much of indirect taxes, net of subsidies, are used for converting GVA into GDP, both at current prices and at constant prices. Earlier, a panel headed by former NITI Aayog vice-chairman Arvind Panagariya had suggested using the data on the GST Network (GSTN), the levy’s information technology backbone, to assess the job market. It recommended using registration and enrolment on the GSTN as a sample for enterprise survey, to be conducted annually. So far, a little over nine million assessees have registered on the GSTN. High-frequency data, monthly or quarterly, might be conducted on the subset of the GSTN. The panel also suggested making the GSTN the universal establishment number and the income taxbased permanent account number embedded with the GSTN the universal enterprise number.

Income-tax department, MCA team up against shell firms

by K.Sundar | posted in: Company Incorporations, e-filing of MCA Returns, Corporate Updates, Economy, Business Updates, Corporate Affairs, Income Tax,e-Filing- Individuals, Firms, Companies | 0
The income tax (I-T) department and the Ministry of Corporate Affairs (MCA) have signed a pact to regularly share data, including PAN and audit reports of firms, to crack down on shell companies, the government said on Thursday.

The pact aims at curbing the menace of money laundering, black money, and misuse of corporate structure by shell companies, a finance ministry statement said. It added a memorandum of understanding for Automatic and Regular Exchange of Information was signed between the MCA and the Central Board of Direct Taxes (CBDT) on September 6 and took effect the same day.

Under the pact, tax authorities will now relay audit reports of corporate entities and specific information from their I-T returns, along with PAN data, to the MCA.

Besides, financial statements filed by corporate entities with the Registrar of Companies, returns of allotment of shares, and statements of financial transactions received from banks will now be shared between the two departments.

“A data-exchange steering group has also been constituted for the initiative. It will meet periodically to review the data exchange status and take steps to further improve the effectiveness of the two agencies,” the finance ministry added.

The MoU will ensure that both the MCA and the CBDT have seamless PAN-CIN (corporate identity number) and PAN-DIN (director identity number) linkage for regulatory purposes.

“The information shared will pertain to both Indian firms as well as foreign ones operating in India,” the statement said.

The data will also be shared for the purpose of carrying out scrutiny, inspection, investigation and prosecution.

The government has already said that about 100,000 directors will be disqualified for their association with shell companies. The MCA is in the process of cancelling the registration of 209,000 companies that have not been carrying out business activities for a long period. Besides, banks have been asked to restrict operations of these companies’ bank accounts by their directors or their authorised representatives.

Income tax dept, MCA team up against shell firms

Following deregistration of over 200,000 companies, currently there are about 1.1 million companies with active status.

Rakesh Nangia, managing partner, Nangia & Co, said, “Seamless exchange of information on PAN records and audit report between the MCA and the CBDT will equip the government to crack down on shell companies, thereby cleaning the economy of devices used for generating and circulating the menace of black money.”

Abhishek Goenka of PwC sought to caution the authorities that the data should be used with adequate safeguards, and does not become a basis for blanket notices.

Prior to this, the government had identified over 100,000 directors for disqualification. These directors have been associated with shell companies. The MCA has put the SFIO on the job to investigate these directors.
